These Terms of Service ("Terms") govern your use of DryRose.org and the export services provided by Kohenoor International ("Kohenoor", "we", "us", or "our"), a Pakistan-registered export trading house operating since 1957. By accessing this website, requesting a quotation, or placing an order with Kohenoor International, you agree to be bound by these Terms.

1. Scope of Service

Kohenoor International exports premium dried botanical products — including dried rose petals, dried rose buds, rose water, rose petal powder, and related herbal commodities — from Pakistan to commercial buyers in 65+ countries worldwide. We operate on a strictly business-to-business (B2B) basis. We do not sell to consumers, and minimum order quantities (MOQ) apply to all transactions.

2. Quotations & Order Acceptance

All quotations issued by Kohenoor International are non-binding pro-forma offers valid for 14 days from the date of issue unless otherwise stated in writing. A contract becomes binding only after we issue a signed Pro-Forma Invoice (PFI) and receive your written acceptance accompanied by the advance payment specified in the PFI. Prices are quoted in USD on FOB Karachi terms unless agreed otherwise.

3. Incoterms 2020

Unless otherwise specified in the Pro-Forma Invoice, all shipments are governed by Incoterms 2020. Default terms are FOB Karachi (Pakistan). CIF, CFR, EXW, FCA, and DDP are available on request and quoted separately. Risk and title transfer in accordance with the chosen Incoterm.

4. Payment Terms

Standard payment terms are 30% advance via T/T bank transfer at order confirmation and 70% balance against scanned shipping documents prior to vessel sailing. For repeat buyers and orders above USD 50,000, we accept Letter of Credit at sight (irrevocable, confirmed by a first-class bank). Other payment methods including Documentary Collection (D/P) may be agreed in writing.

5. Quality & Inspection

All products are tested in our in-house lab and shipped with a Certificate of Analysis (CoA) covering moisture, microbial counts, heavy metals, and pesticide residues. Buyer may appoint a third-party inspection agency (SGS, Bureau Veritas, Intertek, Cotecna) at buyer's cost for pre-shipment inspection. Inspection must be completed within 5 working days of our readiness notice. Buyer-rejected lots must be supported by a written deficiency report from a recognized lab.

6. Documents Supplied

Each shipment includes: Commercial Invoice, Packing List, Bill of Lading (or AWB), Certificate of Origin (Pakistan Chamber of Commerce attested), Phytosanitary Certificate (DPP Pakistan), and product-specific certifications such as Halal, HACCP, or organic where applicable. Additional consular legalization is invoiced at cost.

7. Force Majeure

Neither party shall be liable for delays or non-performance arising from events beyond reasonable control, including but not limited to war, civil unrest, port closures, customs blockades, severe weather, crop failure, pandemic, or government regulation. The affected party shall notify the other in writing within 7 days of occurrence and use reasonable efforts to mitigate impact.

8. Intellectual Property

All website content, product photography, logos, trademarks, and the Kohenoor name are the property of Kohenoor International. Reproduction without written permission is prohibited. Buyer-provided artwork for private-label packaging remains buyer's property.

9. Dispute Resolution & Governing Law

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved by good-faith negotiation. Failing resolution within 30 days, disputes shall be submitted to arbitration under the rules of the Karachi Centre for Dispute Resolution (KCDR) in accordance with Pakistan Arbitration Act 2017. Venue: Karachi, Pakistan. Language: English. Governing law: the laws of the Islamic Republic of Pakistan.

10. Limitation of Liability

Kohenoor International's total aggregate liability arising out of any transaction shall not exceed the invoice value of the specific shipment in dispute. We are not liable for indirect, consequential, or punitive damages including lost profits, lost market share, or third-party claims downstream of the buyer.

11. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated via this page. Continued use of our services after changes constitutes acceptance.
